WHEREAS, the Marlin Business
Services Corp. (the “Corporation”) maintains the Marlin
Business Services Corp. 2003 Equity Compensation Plan, as amended
(the “Plan”), for the benefit of eligible employees of
the Corporation and its subsidiaries, non-employee directors,
consultants and advisors;
