Puzder, the Chief Executive Officer, and Theodore Abajian, the Executive Vice President and Chief Financial Officer, of CKE Restaurants, Inc., a corporation organized and existing under the General Corporation Law of the State of Delaware (the “ Corporation ”), in accordance with the provisions of Section 103 thereof, DO HEREBY CERTIFY:

FIRST: That the voting powers, designations, preferences, and the relative, participating, optional, or other rights, and the qualifications, limitations, and restrictions of the Corporation’s Series A Junior Participating Preferred Stock were provided for in a resoluti
